Terms and Conditions & Cancellation Policy

A. General Provisions

A.1 Scope

These Terms and Conditions of Business conclusively govern the contractual relationship between Sirius Minds GmbH and its customers. The customer’s terms and conditions of business shall have no validity, even if Sirius Minds GmbH does not expressly object to them.

Sirius Minds GmbH provides services exclusively to businesses as defined in § 14 of the German Civil Code (BGB).

A.2 Contracting Parties

The customer’s contractual partner is Sirius Minds GmbH, legally represented by Managing Director Tom Becker, Haarenufer 14, 26122 Oldenburg, Germany, Oldenburg Local Court HRB 202144, VAT ID No.: DE281543343

A.3 Place of Performance

The place of performance for all obligations of Sirius Minds GmbH arising from this contract is Oldenburg.

A.4 Use of Data

Customer data is stored and processed by Sirius Minds GmbH, service providers we have engaged, and our affiliated companies in compliance with the Federal Data Protection Act.

Customer data and participant data—including names, company names, the participant’s or company’s mailing address, phone number, and email address—are stored for processing, billing, and marketing purposes. The customer expressly consents to this processing of their data.

The customer may object to the use of their data for advertising purposes.

A.5 Governing Law and Jurisdiction

The contractual relationship and all legal relationships arising therefrom are governed exclusively by German law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

If the contracting party is a merchant or a special fund under public law, the place of jurisdiction shall be Oldenburg.

A.6 Liability

Damages resulting from slight negligence will be compensated only if they involve a breach of a material obligation (cardinal obligation). In cases of a breach of a material obligation due to slight negligence, liability is limited to damages that are typical for the contract and foreseeable.

Furthermore, Sirius Minds GmbH is liable only in cases of willful misconduct or gross negligence, or in the event of a culpable injury to life, body, or health.

Claims for liability arising from slight negligence are barred by the statute of limitations one year after they arise. This does not apply in cases of culpable injury to life, body, or health.

A.7 Retention of Title / Copyright

Sirius Minds GmbH reserves full ownership of all physical materials delivered until the customer has fully fulfilled all payment obligations.

If Sirius Minds GmbH creates copyrightable works for the customer (e.g., training materials, presentations, software), the customer shall—subject to the condition precedent of the customer’s full fulfillment of all payment obligations—always be granted only a non-exclusive right of use for its own purposes, without the rights to reproduce, distribute, adapt, or make the work available to the public, unless otherwise specified in the contract or unless the purpose of the contract clearly indicates otherwise.

Seminar materials distributed or mailed as part of seminars—regardless of their format—are protected by copyright and may not be reproduced, translated, reprinted, electronically processed, distributed, or published—even in part—without the express written consent of Sirius Minds GmbH and the respective presenters.

B. Seminar Services

The following Terms and Conditions govern participation in the “Startup Team” and “Female Founder” seminars offered by Sirius Minds GmbH.

B.1 Registration

Registration must be submitted in writing via online registration forms, by email, or by phone. If the provided online registration forms are not used, the participant’s first and last name and email address must be provided.

Your registration becomes legally binding only after we confirm it via email. If the event is already fully booked, you may be added to a waiting list.

B.2 Registration Fee

There is no participation fee for the “Startup Team” and “Female Founder” seminars. 

B.3 Terms of Payment

There is no participation fee for the “Startup Team” and “Female Founder” seminars. 

B.4 Cancellation Policy

EXIST Seminar “Startup Team” (Information on Mandatory Attendance, Illness, and Cancellation)

Participation in the EXIST “Startup Team” seminar is a mandatory component of your funding from the PtJ or the BMWE.

If you are unable to attend the scheduled seminar due to illness, we require a doctor’s note or a certificate of incapacity for work (AU) from you within one week. Team members who are not ill are still required to attend on the scheduled date.

If you need to cancel your participation in the seminar in advance for any other reason prior to the scheduled date, the following cancellation policy applies (per participant, plus sales tax):

– Cancellation up to 29 days before the seminar: 0€
– Cancellation 28 to 4 days before the seminar: 100€
– Cancellation within 3 days before the seminar begins: 350€

If you fail to attend a scheduled appointment without providing a valid excuse, a cancellation fee will always be charged to cover any expenses incurred.

If the seminars have not reached the minimum required number of registrants by two weeks before the scheduled date, we reserve the right to cancel an under-enrolled seminar for organizational and financial reasons.

EXIST Seminar “Female Entrepreneurs” (Information on Mandatory Attendance, Illness, and Cancellation)

Participation in the EXIST “Female Founder” seminar is a mandatory component of your funding from the PtJ or the BMWE.

If you are unable to attend the scheduled seminar due to illness, we will need a doctor's note or a certificate of incapacity for work (AU) from you within one week. We will then invite you to a new seminar date. 

If you need to cancel your participation in the seminar in advance for any other reason prior to the scheduled date, the following cancellation policy applies:
(per participant, plus sales tax)

– Cancellation 21 to 5 days before the seminar: 100€
– Cancellation within 5 days before the seminar begins: 350€

If you fail to attend a scheduled appointment without providing a valid excuse, a cancellation fee will always be charged to cover any expenses incurred.

If the seminars have not reached the minimum required number of registrants by two weeks before the scheduled date, we reserve the right to cancel an under-enrolled seminar for organizational and financial reasons.

B.5 Right to Make Changes

We reserve the right to make necessary changes or adjustments to the content, methodology, and organization (e.g., due to changes in the law) before or during the event, provided that such changes do not materially affect the value of the announced event for the participant.

We reserve the right to replace the scheduled speakers with other individuals who are equally qualified to address the announced topic, should the need arise (e.g., illness, accident).

B.6 Liability for Content and Lost Items

The events are organized by Sirius Minds GmbH and its speakers to the best of their knowledge and belief. No liability or warranty is assumed for the accuracy, timeliness, completeness, or quality of the content.

Sirius Minds GmbH is not liable for any loss of or damage to personal belongings brought to events, unless such loss or damage is attributable to gross negligence or willful misconduct on the part of Sirius Minds GmbH.

C. Consulting Services

The following General Terms and Conditions apply to contracts between Sirius Minds GmbH and its clients regarding consulting services for projects, facilitation, coaching, and similar services.

C.1 Subject Matter of the Contract

The scope of the services to be performed by Sirius Minds GmbH (hereinafter referred to as “the subject matter of the contract”) shall be described in a written offer from Sirius Minds GmbH or specified in a written contract.

C.2 Customer Cooperation, Required Documents, and Information

The customer is obligated to provide Sirius Minds GmbH, without being specifically requested to do so, with all documents and information necessary for the performance of the contract in a timely manner. Sirius Minds GmbH may make copies of the documents and information provided and keep the copies on file.

C.3 Subcontractors

Unless otherwise agreed, Sirius Minds GmbH may engage third parties to fulfill its obligations.

C.4 Claims for Defects in Contract Work

If the subject matter of the contract is the production of a work, the statute of limitations for claims for defects is one year from the date of acceptance. In the case of defects that were fraudulently concealed or where a warranty has been provided, the statutory time limits apply instead.

The right to perform the work oneself (Sections 634(2) and 637 of the German Civil Code (BGB)) is excluded. If Sirius Minds GmbH’s attempt to remedy the defect fails, the customer may claim a reduction in price or rescind the contract.

C.5 Compensation

The amount of compensation and reimbursement of expenses shall be agreed upon in the contract. All amounts stated are exclusive of applicable sales tax. If no agreement on compensation is reached, the standard market terms shall be deemed to have been agreed upon.

Sirius Minds GmbH may request reasonable advances on its compensation and expenses. It may also issue partial invoices at any time based on the services already rendered.

Payment, plus applicable sales tax, and reimbursement of expenses are due upon receipt of the invoice, unless otherwise agreed.

C.6 Travel Expenses

Travel expenses are defined as all additional expenses directly incurred as a result of a business trip. These include transportation costs, lodging expenses, additional meal expenses, and documented or reasonably substantiated incidental expenses.

Travel expenses are calculated as follows: Airfare (economy class), train fare (2nd class), rental car/taxi fares, lodging, and other expenses are reimbursed based on receipts. Mileage is reimbursed at a rate of EUR 0.50 per kilometer traveled.

C.7 Trade Secrets and Confidential Information, Publications

Sirius Minds GmbH and the customer are obligated to treat as confidential, for an indefinite period, all facts and information that become known in the course of the contract’s performance and that are not generally known, and in particular the trade and business secrets of the other party, to use such information solely for the purpose of performing the contract, and not to disclose it to third parties. If Sirius Minds GmbH engages third parties to perform the contract, it shall impose the same confidentiality obligations on them.

However, Sirius Minds GmbH may use the facts and information for oral or written publications without the customer’s prior consent, provided that it does not name the customer and the facts and information do not allow the customer’s identity to be inferred.d
